Withhold at least 25% of contract price until system or equipment is delivered and tested. 2. Make sure build times and delivery dates are clearly defined. 3. Contract should be subject to interpretation under laws of the state of the purchaser not the seller/manufacturer. 4. Do not agree to arbitration of contract disputes. As buyer you need access to courts if problems occur. 5. Do not limit liability of seller/manufacturer to no more than contract price. Failure to perform by seller/manufacturer may subject buyer to financial loss and opportunity cost.
